Terms of Use

These Terms of Use ("Terms") form a legally binding agreement between you ("Subscriber", "you", or "your") and Candidroot Solutions Private Limited ("Candidroot", "we", "us", or "our") for use of the Sanjeevani Healthcare ERP platform ("Sanjeevani" or "the Platform").


By signing up, activating a subscription, or using Sanjeevani in any capacity, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

These Terms are governed by the laws of India, including the Indian Contract Act, 1872, the IT Act 2000, and the DPDP Act 2023.

Terms of Use

Eligibility

To use Sanjeevani, you must:

  • Be a registered clinic, hospital, diagnostic centre, or healthcare professional in India
  • Be at least 18 years of age
  • Have the legal authority to enter into this agreement on behalf of your organisation (if subscribing on behalf of a clinic or hospital)
  • Possess a valid GST number if your organisation is GST-registered

The Platform

Sanjeevani is a Software-as-a-Service (SaaS) platform built on Odoo 19 Community, provided on a subscription basis. It includes:

  • Access to modules as per your chosen plan (Clinic Starter, Clinic Professional, or Hospital Enterprise)
  • Managed cloud hosting on Indian servers
  • SSL certificate management and daily backups
  • Product updates and bug fixes
  • Customer support as per your plan tier

Sanjeevani does not include:

  • Hardware (computers, printers, barcode scanners, tablets)
  • Internet connectivity
  • WhatsApp Business API costs (charged separately by Meta/provider)
  • Custom development not covered in your plan

Subscription Plans & Payment

Plans

Three subscription tiers are available:

  • Clinic Starter - ₹1,500/month + 18% GST
  • Clinic Professional - ₹3,500/month + 18% GST
  • Hospital Enterprise - Custom pricing, agreed in writing before activation

All prices are in Indian Rupees (₹). GST is charged at 18% as applicable under Indian tax law. A GST invoice is issued for every payment.

Billing

  • Monthly subscriptions are billed in advance at the start of each billing cycle
  • Annual subscriptions receive 2 months free (effective 10 months' price for 12 months of access)
  • Payment is due on or before the subscription renewal date
  • Accepted payment methods: UPI, NEFT/IMPS, credit/debit card, net banking via payment gateway

Late Payment

If payment is not received within 7 days of the due date:

  • A reminder will be sent via email and WhatsApp
  • After 14 days of non-payment, access to the Platform may be suspended
  • After 30 days of non-payment, the subscription may be terminated and data deletion may begin (with prior notice)

Price Changes

We reserve the right to revise subscription prices. You will be given a minimum of 30 days' written notice (via email) before any price change takes effect. Continued use after the notice period constitutes acceptance of the new price.


Your Responsibilities

As a Subscriber, you are responsible for:

Account Security

  • Keeping your login credentials confidential
  • All activity that occurs under your account
  • Immediately notifying us at support@candidroot.com if you suspect unauthorised access

Patient Data

  • Obtaining valid consent from patients before collecting their health data in Sanjeevani
  • Complying with the DPDP Act 2023 as the Data Fiduciary for your patients
  • Complying with ABDM data governance policies if you use ABDM/ABHA features
  • Ensuring your use of patient data in Sanjeevani is lawful under applicable Indian law

Lawful Use

  • Using Sanjeevani only for lawful healthcare management purposes
  • Not using the Platform to store data unrelated to healthcare operations
  • Not attempting to reverse engineer, copy, resell, or sublicense the Platform

Accurate Information

  • Providing accurate clinic/hospital registration details, GST number, and contact information
  • Updating us promptly if your details change

Candidroot's Responsibilities

We commit to:

  • Maintaining Platform uptime of 99% or above (measured monthly, excluding scheduled maintenance)
  • Providing at least 24 hours' advance notice for scheduled maintenance where possible
  • Storing all data on servers located within India
  • Providing daily automated backups with a minimum 7-day retention
  • Responding to support requests within the SLA for your plan:
    • Starter: Email/chat response within 1 business day
    • Professional: Phone/chat response within 4 business hours
    • Enterprise: Dedicated account manager + SLA as agreed in contract

Intellectual Property

  • Sanjeevani and all associated branding, UI design, and proprietary features are the intellectual property of Candidroot Solutions Private Limited
  • The underlying Odoo 19 Community software is open-source (LGPL v3) - your rights to it are governed by that licence
  • Your data (patient records, billing records, clinical data) remains your property at all times. We claim no ownership over it.
  • You may not copy, reproduce, resell, or distribute any part of the Sanjeevani platform without written permission from Candidroot

Prohibited Use

You must not use Sanjeevani to:

  • Store or transmit data in violation of Indian law or patient rights
  • Engage in fraudulent billing or insurance claims
  • Attempt to gain unauthorised access to other subscribers' data or Candidroot's infrastructure
  • Upload malicious code, viruses, or disruptive scripts
  • Use the Platform for any purpose other than legitimate healthcare management

Violation of this section may result in immediate account suspension without refund.


Termination

By You

You may cancel your subscription at any time by contacting us at support@candidroot.com. Cancellation takes effect at the end of your current billing cycle. No partial refunds are issued for unused days in the current cycle, except as covered under Section 9 (Refund Policy).

By Us

We may suspend or terminate your account with notice if:

  • Payment is overdue by more than 30 days
  • You are in material breach of these Terms
  • Continued provision of the service becomes legally or technically impossible

In the event of termination, we will provide you with a data export (in standard format) within 14 days of your written request.

Data After Termination

  • Your data is retained for 90 days after termination, during which you may request an export
  • After 90 days, data is permanently deleted from our servers
  • You will be notified by email before deletion occurs

Limitation of Liability

To the maximum extent permitted under Indian law:

  • Candidroot's total liability to you for any claim arising out of or related to these Terms shall not exceed the total subscription fees paid by you in the 3 months preceding the claim
  • We are not liable for indirect, incidental, or consequential damages including loss of patients, lost revenue, or reputational harm
  • We are not liable for data loss caused by your own actions, third-party integrations you have enabled, or force majeure events

Nothing in these Terms limits liability for fraud, gross negligence, or death/personal injury caused by our negligence.


Dispute Resolution

Any dispute arising from these Terms shall be:

  1. First attempted to be resolved through good-faith negotiation between the parties
  2. If unresolved within 30 days, referred to arbitration under the Arbitration and Conciliation Act, 1996
  3. The seat of arbitration shall be Ahmedabad, Gujarat
  4. The language of arbitration shall be English

These Terms are governed by the laws of the Republic of India. Courts in Ahmedabad, Gujarat shall have exclusive jurisdiction.


Amendments

We may update these Terms from time to time. Material changes will be communicated via email at least 14 days before they take effect. Your continued use of Sanjeevani after that date constitutes acceptance.
